Balance2life Terms of Use
Before accessing and using the Online Platform, please read these Terms carefully, because they are a legal agreement between Balance2life and you.
Balance2life Group Pty Limited ("Balance2life", "we", "us" or "our") provides access to the Smarthub platform and our website at www.balance2life.com.au (together, the "Online Platform"), subject to your acceptance of these Terms of Use ("Terms"). These Terms apply when you access and use the Online Platform.
By using the Online Platform, you agree to these Terms and to the Balance2life Privacy Statement. If you don't agree to any of these Terms, please don't access the Online Platform.
Privacy
Your privacy is extremely important to us. Our Privacy Statement explains what personal information we collect from you, how we use and protect it, and how you can access, correct or delete it.
Balance2life doesn't warrant that your access to the Online Platform will be uninterrupted or free of viruses or other items that might damage or interfere with your computer, data or personal information. You may not do anything that interferes with the operation of the Online Platform, such as hacking or spamming.
Please note: Balance2life does not provide medical advice, diagnosis or treatment, and does not provide legal or financial advice or engage in any conduct that requires a professional licence. Balance2life is intended to be a general information resource only and is not a substitute for professional advice or treatment from appropriate medical, legal, accounting, financial or other professional advisers.
AI features
The Smarthub includes the Leading WELL AI coach, a thinking partner that supports participants in the Leading WELL e-learn.
- The coach is only available if your organisation has asked for it to be enabled, and using it is optional.
- Its responses are general guidance to support your learning. They may not always be accurate or complete, and you decide what to do with them.
- The coach doesn't provide mental health support, counselling or diagnosis.
- Please don't enter sensitive information, such as details about your health, into the coach.
Our Privacy Statement and AI Use Statement explain how AI features handle your information.
Your account and communications
To access the Online Platform, you'll need to register by providing basic information, such as your name and email address. We handle this information in line with our Privacy Statement.
If your organisation uses single sign-on, you sign in with your organisation's own login, and your organisation's sign-in and security policies apply.
You are responsible for keeping your account details, including your password, confidential, and for all activity that occurs under your account.
Emails and other communications
When you register, we'll send you emails needed to provide the service, such as account notices, program emails and reminders you've set up. We'll only send you newsletters, campaigns or promotional material if you opt in. You can opt out at any time by changing the communication settings in your member profile or by clicking the unsubscribe link in any email.
Feedback
Support and feedback mechanisms are provided to improve the quality of the Online Platform and the effectiveness of our service. If you give us suggestions or feedback about the Online Platform, you agree that we can use them to improve our services, without compensation or attribution. This doesn't include your personal information, which we handle in line with our Privacy Statement.
Acceptable and lawful use
You agree to comply with all applicable laws when using the Online Platform.
You agree to notify Balance2life immediately of any unauthorised use of your account or password, or any other breach of security. You may not use anyone else's account or password at any time without the express permission of the account holder.
While using the Online Platform or any related services, you agree not to:
- restrict or inhibit any other user from using and enjoying the Online Platform
- upload or transmit any content that is unlawful, fraudulent, harmful or obscene
- breach copyright or infringe other intellectual property rights
- upload or transmit any unauthorised solicitation (including spam)
- upload or transmit any malicious content or disruptive component (including viruses and worms)
- probe, scan or test the vulnerability of the Online Platform or any connected network, unless Balance2life has agreed to it in writing beforehand
- interfere with or disrupt the Online Platform infrastructure (including denial-of-service attacks)
- upload or transmit content that you do not have a legal right to transmit
- forge headers or manipulate identifiers to disguise the origin of a transmission
- intentionally breach any applicable law
- attempt to sell or illegally profit from the Online Platform, including by disassembling or accessing its underlying code
- share, copy or misuse information with any unauthorised person
- collect or store personal information about another user of the Online Platform, or
- impersonate another user, or gain access by impersonating another person or entity.
No warranties
To the full extent permitted by law, all content on the Online Platform (including text, graphics, photos, logos, icons, images, software, video and audio clips) (the "Content") is provided "as is". Balance2life disclaims, to the full extent permitted by law, all warranties, express or implied, including any warranties of accuracy, non-infringement, merchantability and fitness for a particular purpose.
You assume total responsibility for your use of the Online Platform and any linked websites or services. Your sole remedy against Balance2life for dissatisfaction with the Online Platform or any Content is to stop using it.
Limitation of liability
You agree that we are not liable for any damages suffered as a result of using the Online Platform, or copying, distributing or downloading Content from it.
To the extent permitted by law, Balance2life is not liable for any indirect, consequential or reasonably foreseeable loss or expense suffered by you or any other person or entity, however caused (regardless of whether we have been notified that such loss may occur), including but not limited to loss of turnover, profits, business or goodwill, or any liability to any other person or entity, except to the extent of any liability imposed by the Australian Consumer Law.
Indemnification
You agree to indemnify and hold harmless Balance2life from any and all loss, damage, liabilities, penalties, claims, causes of action and demands brought by third parties (including costs, expenses and lawyers' fees) resulting from your use of the Online Platform, whether based in contract or tort (including strict liability) and regardless of the form of action.
Links to other websites
The Online Platform contains links to independent third-party websites. These are provided for convenience only and, while carefully chosen, are not owned or controlled by Balance2life. We don't endorse or make any representations about these sites, and you must make your own judgement about your interactions with them. Balance2life has no responsibility for the content of third-party websites, and if you decide to access any of them, you do so entirely at your own risk.
Third-party products and services
The Online Platform may link to goods, services or discounts offered by third parties. Balance2life doesn't sell these or process payments for them. You assume all risk in buying them, and any complaints or issues must be directed to the seller or provider, not to Balance2life. Discounts may be updated or removed by Balance2life or the vendor at any time, without notice.
Intellectual property
Unless otherwise indicated, all intellectual property rights (including copyright, patents, trademarks, trade names and designs, including the "look and feel" and other visual or non-literal elements, whether registered or unregistered) in the following are owned by or licensed to Balance2life:
- the content of the Online Platform and services
- the Online Platform itself
- the design and structure of any database operated by Balance2life
- the Online Platform design, programs, text, graphics, logos, icons, sound recordings, video, software, photos, music, layout, format, arrangement, software compilations and underlying source code.
Information obtained from a third party may be subject to copyright owned by that third party. All rights are reserved.
Balance2life grants employees of participating organisations with a current membership a personal, limited, revocable, non-exclusive and non-transferable licence to access, view, listen to, use and print the Online Platform. Otherwise, to the extent allowed by law, no part of the Online Platform may be reproduced, redistributed, retransmitted, published, broadcast, displayed, posted or transmitted in any form, sold, rented or sub-licensed, or used to create derivative works, without our prior written permission.
The following are examples of conduct these Terms don't allow:
- sharing content from the Online Platform or your account with people who don't have access to the Online Platform
- publishing or posting any content (such as articles or programs) on any other website, including social media pages or third-party websites
- using the Balance2life logo or trademarks to describe, market, endorse or promote any goods or services
- registering or maintaining any social media page or website that misrepresents, or is reasonably likely to misrepresent, an affiliation with or endorsement by Balance2life.
Any ideas, notes, drawings, concepts, plans, inventions, systems, products or processes developed or created entirely by Balance2life are the sole and exclusive property of Balance2life.
The contents of the Online Platform are protected by copyright under the Copyright Act 1968 (Cth) and other applicable laws. You may access the materials on the Online Platform only for non-commercial, personal use. Downloading copyrighted material doesn't give you any ownership rights in it. Any other use of materials on the Online Platform, including reproduction, modification, distribution or republication, without Balance2life's prior written permission, is strictly prohibited.
Your data
Balance2life's intellectual property rights don't extend to your personal information or your organisation's data. Your personal information belongs to you, and your organisation's data belongs to your organisation. We hold it only to provide the Online Platform, and we handle it in line with our Privacy Statement.
Termination
Your right to access the Online Platform ends if you're no longer eligible to use Balance2life services. You're eligible only while your organisation has a current, active membership for its employees. If your employment ends, your Balance2life membership also ends, and continuing to use the Online Platform after that is a breach of these Terms. Balance2life may, at its sole discretion, end your access to the Online Platform if you breach these Terms.
When your access ends, we handle your personal information in line with our Privacy Statement, and you can ask us to delete it at any time.
Your organisation's agreement
If your organisation has a separate written agreement with Balance2life, that agreement prevails over these Terms to the extent of any inconsistency.
Changes to these Terms
These Terms may change as we add new features. We'll give you notice of any changes through the Online Platform or by email. Please review these Terms periodically.
We won't make changes that have a retrospective effect unless we're legally required to, or need to in order to protect other users of the Online Platform. If you use the Online Platform after a change is posted, you're taken to have accepted it.
